These Terms & Conditions (“Terms”) govern your use of the CypherSage website (cyphersage.in) and any services provided by CypherSage (“we”, “our”, or “us”), a boutique tech studio based in Bengaluru, Karnataka, India.

By browsing this website, contacting us, or engaging us for services, you agree to these Terms. If you disagree, please do not use our site or services.


1. Acceptance of Terms

These Terms apply to all visitors, clients, and anyone who interacts with CypherSage through any channel. We may update these Terms at any time; the revised version will be posted on this page with an updated date. Continued engagement after a change constitutes acceptance of the updated Terms.


2. Scope of Services

CypherSage provides data & analytics, AI/ML, web & software development, MLOps/DevOps, and strategy & consulting services, primarily to small businesses, startups, students, and independent professionals.

Services are delivered fully remotely. The exact scope of any engagement is agreed upon in writing before work begins (see Section 3).


3. Quotes & Engagement

Free consultation

The first consultation is free. We will discuss your requirements, ask clarifying questions, and give you an honest assessment of what is feasible and what it may cost. No obligation is created by a consultation alone.

Pricing

Pricing is agreed per project and may be structured as fixed-price, time & materials, or retainer depending on the nature of the work — confirmed in writing at the start of each engagement.

Service agreement

A brief service agreement or work order will be shared before any billable work begins. Agreements may be signed via DigiLocker or confirmed over email, depending on what is practical for both parties. Either method is considered legally binding between us.

Upfront payment

We typically require partial or full payment upfront, especially for new clients and smaller projects. Milestone-based payment schedules may be agreed for larger engagements.


4. Payment

We accept payment via bank transfer (NEFT/IMPS/RTGS), debit/credit card, and UPI. Payment details are shared at the time of invoicing.

There are no hidden fees. Any additional costs (such as third-party hosting, software subscriptions, or API credits required by your project) will be communicated to you before they are incurred and are your responsibility unless explicitly agreed otherwise.


5. Client Responsibilities

Successful project delivery depends on your participation. You agree to:

  • Provide accurate and complete information about your requirements
  • Respond to requests for feedback, approvals, or clarifications in a reasonable time frame
  • Ensure you have the legal right to share any data, content, or materials you provide to us
  • Inform us of changes to requirements promptly — significant scope changes may affect cost and timeline

6. Intellectual Property & Ownership

Unless otherwise agreed in writing, ownership of all final deliverables transfers to you upon receipt of full payment. This includes code, reports, designs, and documentation produced specifically for your project.

CypherSage retains ownership of any general tools, frameworks, templates, or know-how developed independently and reused across projects. Where open-source components are used, their respective licences apply.

With your consent, we may reference our work together in our portfolio — without revealing confidential details.


7. No Guarantee of Specific Outcomes

We bring skill, care, and experience to every project. However, we cannot guarantee specific business outcomes such as revenue growth, traffic increases, model accuracy targets, or regulatory approvals. Outcomes depend on factors beyond our control, including market conditions, data quality, and decisions made by you.

We will always be honest with you about what is realistic based on your brief and available resources.


8. Data Ethics

CypherSage has a firm stance on data integrity:

  • We do not manipulate, fabricate, or selectively present data to create misleading conclusions — regardless of what a client may ask.
  • We support legitimate research and analysis, but we do not ghost-write academic research, dissertations, or assignments on behalf of clients. We can assist with technical analysis, tooling, and methodology — not misrepresentation of authorship.
  • If any request appears to involve data manipulation or academic dishonesty, we reserve the right to decline or terminate the engagement.

9. Confidentiality

We treat all client information as confidential. We will not disclose your project details, data, or business information to third parties without your consent, except where required by law or to subcontractors/tools necessary to deliver the service (who are bound by similar confidentiality expectations).

If your project requires a formal Non-Disclosure Agreement (NDA), we are happy to sign one before work begins.


10. Limitation of Liability

To the maximum extent permitted by applicable law, CypherSage's total liability for any claim arising from our services will not exceed the amount paid by you for the specific engagement giving rise to the claim.

We are not liable for indirect, incidental, or consequential damages, including but not limited to loss of profits, data loss, or business interruption, even if we were advised of the possibility of such damages.


11. Third-Party Tools & Hosting Costs

Many projects require third-party software, cloud platforms, APIs, or hosting services. Unless we agree otherwise in writing:

  • You are responsible for costs incurred by third-party tools used in your project
  • We will inform you of such costs before they are incurred
  • Accounts for cloud services (hosting, databases, etc.) will be registered in your name wherever possible so you retain full ownership and control

12. Termination

Either party may terminate an engagement by giving reasonable written notice. In the event of termination:

  • You are responsible for payment of work completed up to the termination date
  • We will hand over any work in progress and materials belonging to you
  • Any amounts already paid for work not yet begun may be refunded at our discretion, depending on the circumstances

We reserve the right to immediately terminate an engagement if a client requests unethical work, fails to pay as agreed, or is found to be acting in bad faith.


13. Governing Law

These Terms are governed by the laws of India. Any disputes arising from or in connection with these Terms shall be subject to the jurisdiction of the courts in Bengaluru, Karnataka, India, unless otherwise agreed in writing.
